Herb Glaser practices in the areas of structured and project finance. He is recognized as a leading Projects practitioner by Chambers and Partners in its Chambers USA 2008 guide. Mr. Glaser is regularly named a leading projects lawyer by other prominent peer-reviewed publications, including the Guide to the Word’s Leading Project Finance Lawyers, The International Who’s Who in Project Finance Lawyers and Washington, D.C. SuperLawyer.

Mr. Glaser's practice focuses on project finance and project development transactions, as well as joint ventures and mergers and acquisitions, of project or special purpose companies. He has substantial experience in a variety of industries, including power, energy, telecommunications and information technology, and in emerging markets throughout Latin America and the Caribbean, Asia, Africa and Central and Eastern Europe. Mr. Glaser has led transactions utilizing assistance from multilateral and bilateral funding and political risk insurance sources such as U.S. Eximbank, the Overseas Private Investment Corporation, the World Bank, the International Finance Corporation, the Multilateral Investment Guaranty Agency, the Japan Bank for International Cooperation and the U.K. Export Credits Guarantee Department.

Mr. Glaser has represented clients in the following:

  • Representation of Mirant Corporation in the $1.1 billion disposition of utilities and power generation facilities located in Jamaica, Trinidad, the Bahamas and Curaçao.
     
  • Representation of the Overseas Private Investment Corporation in a syndicated $150 million facility for the banking sector in Iraq, a facility that included the first loans by major Western banks at risk in that country since the overthrow of Saddam Hussein.
     
  • Greenfield development and financing of more than 5,000 MW of coal and natural gas-fired power projects in Virginia, Florida, Illinois, Brazil, Argentina, Colombia Turkey, Egypt, Indonesia, the Philippines, Thailand, Poland and the Czech Republic.
     
  • Acquisition bid for over $2 billion for 11 power plants aggregating 9,000-MW in the New England region.
     
  • Renegotiation of power purchase arrangements and the related financing structure for a 1,320-MW, $2.5 billion coal-fired power plant in Indonesia.
     
  • Representation of Parsons Transportation Group, as Facility Provider, in the ground-breaking $1.5 billion Houston Light Rail Phase 2 public-private partnership to create four additional light rail lines serving the Houston metropolitan area.
     
  • Formation of a $3 billion international joint venture between a leading U.S. telecommunications firm and two of the largest telecommunications companies in Europe.
     
  • Formation of international investment funds focusing on Central Europe, South Asia, Southern Africa, and Latin America.

For the 2008-2009 academic year, Mr. Glaser is an Adjunct Professor of Law at the Georgetown University Law Center. From 2005 through 2007, Mr. Glaser served as Co-Chair of the International Energy and Natural Resources Committee of the American Bar Association. From 2002 through 2007, he also served as head of the firm’s Projects Practice Group.

Prior to joining Haynes and Boone, LLP, Mr. Glaser was Executive Vice President and General Counsel of OptiGlobe, Inc., the leading Internet infrastructure company in Latin America. He previously served as Vice President and Associate General Counsel of Edison Mission Energy, a leading global independent power producer with over 24,000 megawatts of capacity at 40 plants in 10 countries, and as Associate General Counsel at the Overseas Private Investment Corporation, with responsibility for finance, political risk and investment fund activities.

$150 Million Project Financing - Middle Market Enterprises in Iraq
Acted as lead counsel to the lender in the creation and administration of a $150 million project financing of a financial institution to assist middle market enterprises in Iraq.

Project Financing - $375 Million 340-MW Gas-Fired Combined Cycle Power Generation Plant near San Juan, Puerto Rico
Project counsel to project sponsor on the development, construction, operation and financing of a $375 million 340-MW gas-fired combined cycle power generation plant outside San Juan, Puerto Rico.

Project Financing - Power Generation Plant in Batangas, Luzon, the Philippines
Lead counsel to the lenders on a $1.2 billion project finance loan for a 1,000-MW natural gas fired combined cycle power generation plant in Batangas, Luzon, the Philippines.
