Haynes and Boone’s Steve Allison Named VIA Board Member

Haynes and Boone, LLP Partner Steve Allison has been appointed to San Antonio’s VIA Metropolitan Transit Authority Board of Trustees. Mr. Allison was appointed to the nationally recognized public transit system’s 11-member board of trustees by the suburban mayors, one of VIA’s three appointing bodies. He will serve a two-year term. VIA is embarking on its SmartWaySA initiative through a process of working with the community to create a vision and Long Range Comprehensive Transportation Plan for the San Antonio-Bexar County area. >>

Weathering the Storm: The FDIC’s Authority to Repudiate Contracts

The current economic climate has led to a dramatic increase in bank failures over the past few years. In 2009 alone, 140 banks failed, compared to 26 bank failures in 2008 and only 3 bank failures in 2007. The Federal Deposit Insurance Corporation (the “FDIC”) recently announced that it has 702 banks on its “Problem List” as of December 31, 2009, up 27 percent from 552 banks on September 30, 2009. This acute trend has heightened the awareness and interest in the role of the FDIC as receiver of a failed bank. >>

Texas Supreme Court Resets Public Information Act’s Ten-Day Deadline

When a governmental entity believes that information requested from it under the Texas Public Information Act (“PIA”) is exempt from disclosure, the PIA requires the entity to request an attorney general’s opinion within 10 business days after receiving the request. However, the PIA also allows the governmental entity to ask the requestor to clarify a request it finds to be unclear. >>

Haynes and Boone Advises Elizondo Group in Texas Manufacturing Acquisition

Haynes and Boone, LLP attorneys have advised Manufacturas Especializadas, SA (“MESA”), a member of the Elizondo Group of Monterrey, Mexico, in the purchase of substantially all of the assets of Snoke Special Products Company, Inc of Jacksonville, Texas.

The Haynes and Boone team was led by Dallas Partner Larry B. Pascal, the head of the firm’s Americas Practice Group. Other members of the Haynes and Boone team who worked on the project included Dallas Partner Darrel Rice; Dallas associates Tom Tippetts, Iain Wood, Barbara-Ellen Gaffney and Keenan Kolendo; Austin Of Counsel Cari Goodman McKinney; and Dallas Foreign Associate Nara Porto.

Haynes and Boone Assists in High-Profile San Antonio Rivercenter Land Dispute

In a significant victory for Keystone-Texas Property Holding Corp., Haynes and Boone, LLP acted as appellate counsel in a trial that secured a favorable jury verdict for the property company in excess of $80 million in combined actual and punitive damages.

Haynes and Boone appellate Partner Alan Wright of Dallas, Houston Partner Mark Trachtenberg and Houston Associate Polly Graham were hired by Crouch & Ramey to represent Keystone as appellate counsel. The Haynes and Boone appellate team participated in the five-week trial to ensure an accurate record in anticipation of appeal. The verdict is not yet final and is subject to post-trial motions.

Haynes and Boone Advises Newfield Exploration Co. in Purchase of TXCO Resources Assets

Haynes and Boone, LLP represented Newfield Exploration Co. in the Feb. 11 purchase of assets in the Maverick Basin of Southwest Texas from TXCO Resources Inc., a San Antonio-based oil and natural gas exploration and development company.

Newfield and the Anadarko Petroleum Company are the purchasers of substantially all the assets of TXCO for $310 million pursuant to an order of the United States Bankruptcy Court for the Western District of Texas.

Six Prominent New York Real Estate Finance and Restructuring Lawyers Welcomed to Expanding Haynes and Boone Office

NEW YORK – In a major expansion of its East Coast real estate, finance and real estate restructuring practices, Haynes and Boone, LLP announces the addition of six partners who bring a wealth of experience, particularly representing top-tier New York financial institutions, real estate funds and private equity groups.

All six partners are making the move to the Haynes and Boone Finance Practice from the Paul Hastings New York-based real estate finance and restructuring practices. Four of the six are focused on real estate finance. They are Kenneth J. Friedman, Robert J. Grados, Steven Koch and Walter F. Schleimer. The other two – Lawrence Mittman and Carolyn E. Sullivan – concentrate on real estate restructurings. The group’s collective experience will be invaluable to Haynes and Boone clients for real estate finance, and as restructurings, workouts and bankruptcies continue to create opportunities.
